These General Terms and Conditions apply to all services provided by vncy GmbH in the field of film and video production for companies, corporations, and other commercial clients. By placing an order, the client acknowledges these terms.
An order is considered binding as soon as the client accepts the written offer of vncy GmbH by e-mail. A separate contract is not required. The acceptance constitutes a legal commissioning.
Payment is made in two parts:
All invoices are payable within 30 days of the invoice date without deduction.
The agreed service is defined as a fixed price in the offer. This includes all services and final products explicitly listed in the offer. Change requests that go beyond the agreed scope or relate to content already approved (e.g., scripts, concepts) will be invoiced separately after consultation. Changes to deadlines or weather-related adjustments do not affect the contract value – once commissioned, always commissioned.
Within the agreed scope of services, unlimited revisions are possible until the final result meets the client’s expectations. Changes to content that has already been approved are excluded from this and will be considered additional work.
The client receives all simple usage rights to the final media content – unlimited in time, geography, and content. Transfer to third parties for further processing and independent editing by the client are not permitted without the written consent of vncy GmbH.
vncy GmbH reserves the right to use produced content for its own reference purposes – in particular on its own website, on social media, in presentations, or in the showreel. Separate client consent is not required for this.
Costs for external services such as music licenses, voice-over artists, permits, location rentals, props, or travel expenses are not included in the offer unless expressly stated. They will be invoiced separately to the client according to actual expenses.
Raw footage (unedited recordings) is not part of the offer. It can be provided upon request for an additional fee of 50% of the agreed project cost.
vncy GmbH is commissioned for its creative style and distinctive approach. The client acknowledges that concept, visual language, editing, and tone will be independently designed by vncy GmbH within the framework of the joint briefing. Fundamental co-creation by the client is possible, but complete content or creative control is excluded.
A project is considered fulfilled as soon as the agreed services are delivered in a style, quality, and scope comparable to previous works of vncy GmbH and provided to the client. Additional revisions or adjustments based on personal taste do not constitute a right to further changes outside the originally agreed scope.
During production, close collaboration with the client will be ensured. vncy GmbH places great importance on transparency, clear communication, and a shared understanding to achieve the best possible result.
Exclusively German law applies. The place of jurisdiction for all disputes – to the extent legally permissible – is Bremen.
